Terms of Service

Last updated: May 7, 2026

These Terms of Service ("Terms") form a binding agreement between Manifold, Inc.and the entity or person ("you") that accesses or uses our software, websites, APIs, documentation, and related services (together, the "Services"). By using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these Terms, do not access or use the Services.

The Services

Manifold provides software that captures spoken technician findings in dealership service departments and turns them into structured documentation, warranty narratives, advisor briefings, customer communications, and operational intelligence. We may add, modify, or discontinue features of the Services from time to time.

Specific features, usage limits, support obligations, and service levels for paid Services are described in your applicable order form, statement of work, or subscription documentation (an "Order"). Where this agreement and an Order conflict, the Order controls for the items it specifically addresses.

Eligibility and Accounts

You must be at least 18 years old and legally able to enter into binding contracts to use the Services. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us promptly at legal@manifoldops.com if you suspect unauthorized use.

You may not allow anyone other than your authorized employees, contractors, or agents to use the Services on your behalf, and you are responsible for their compliance with these Terms.

Acceptable Use

You agree not to, and not to permit anyone to:

  • use the Services in violation of any applicable law, regulation, or third-party right;
  • copy, modify, reverse-engineer, decompile, or attempt to derive source code from the Services, except to the extent applicable law expressly permits;
  • resell, sublicense, or otherwise commercially exploit the Services without our written authorization;
  • upload malware, send spam, or attempt to disrupt, overload, or compromise the Services;
  • access the Services to build a competing product or to benchmark against us; or
  • use the Services to process content that infringes intellectual property, violates privacy rights, or is otherwise unlawful.

Customer Data

"Customer Data" means content, audio, video, transcripts, repair-order data, and other information you or your authorized users submit to or generate through the Services, including data integrated from your dealership management system. As between you and us, you retain all right, title, and interest in Customer Data.

You grant Manifold, Inc. a worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Data solely as necessary to provide and improve the Services, comply with law, and prevent or address misuse. We process Customer Data in accordance with our Privacy Policy and any data processing addendum executed between us.

You represent that you have all rights, consents, and authority necessary to submit Customer Data to the Services and to grant the license above, including with respect to recordings of technicians, advisors, and other dealership personnel.

Aggregated and De-Identified Data

We may generate de-identified, aggregated statistical and benchmark data from the operation of the Services ("Aggregated Data"). Aggregated Data does not identify you, your personnel, your customers, or any individual vehicle, and we may use Aggregated Data for any lawful purpose, including improving the Services and producing industry benchmarks.

Fees and Payment

Paid Services are billed according to the Order. Unless the Order states otherwise, fees are payable in advance, are non-refundable, and are exclusive of taxes. Late amounts accrue interest at the lesser of 1.0% per month or the maximum permitted by law. We may suspend the Services for non-payment after reasonable notice.

Term, Suspension, and Termination

These Terms are effective until terminated. Either party may terminate for the other party's uncured material breach upon 30 days' written notice. We may suspend or terminate immediately if we reasonably believe your use threatens the security, integrity, or availability of the Services or violates Section 3 (Acceptable Use).

On termination, your right to access the Services ends. Sections that by their nature should survive termination (including Customer Data ownership, Aggregated Data, fees accrued, disclaimers, limitations of liability, and indemnification) will survive.

Intellectual Property

The Services, including all software, models, interfaces, documentation, and trademarks, are owned by Manifold, Inc. and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the term solely as permitted by these Terms and any Order. No other rights are granted by implication, estoppel, or otherwise.

If you provide feedback, ideas, or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

Confidentiality

Each party may disclose non-public information ("Confidential Information") to the other in connection with the Services. The receiving party will use the same care to protect Confidential Information that it uses for its own confidential information of like importance, and at minimum reasonable care, and will use Confidential Information only to perform under these Terms. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was already known to the receiving party without restriction, or is independently developed without use of the disclosing party's Confidential Information.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Manifold, Inc. disclaims all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The Services include AI-generated outputs, including transcriptions and structured documentation. Such outputs may contain inaccuracies. You are responsible for reviewing AI-generated content before relying on it for warranty submissions, customer communications, or other operational decisions.

Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility. Each party's aggregate liability arising out of or related to these Terms will not exceed the fees you paid us for the Services in the twelve months preceding the event giving rise to liability.

These limitations do not apply to your payment obligations, breaches of Section 3 (Acceptable Use) or Section 8 (Intellectual Property), indemnification obligations, or liability that cannot be limited under applicable law.

Indemnification

You will defend, indemnify, and hold Manifold, Inc. harmless from third-party claims, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Customer Data; (b) your breach of these Terms; or (c) your violation of applicable law.

We will defend, indemnify, and hold you harmless from third-party claims that the Services, used as permitted, infringe a U.S. patent, copyright, or trademark, subject to customary exclusions (e.g., claims arising from Customer Data, modifications you make, or combinations with non-Manifold products).

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute that is not subject to arbitration. Each party waives any right to a jury trial.

Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide reasonable notice (for example, by email to your account contact or through the Services) before the change takes effect. Continued use of the Services after the effective date of an update constitutes acceptance of the updated Terms.

General

These Terms, together with any applicable Order and any incorporated policies, are the entire agreement between the parties regarding the Services and supersede prior or contemporaneous agreements on that subject. If a provision is held unenforceable, the remaining provisions remain in effect. Neither party may assign these Terms without the other's consent, except that either party may assign to a successor in connection with a merger, acquisition, or sale of substantially all of its assets. No waiver is effective unless in writing.
